1. Acceptance of Terms
By accessing or using the website located at www.immigration-company.com and any related portals, applications, tools, or services operated by The Immigration Company ("Company," "we," "us," or "our") (collectively, the "Platform"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy.
If you do not agree to these Terms, you may not access or use the Platform.
If you are using the Platform on behalf of an entity, you represent and warrant that you have authority to bind that entity to these Terms.
2. Description of the Platform
The Platform provides technology-enabled tools, workflows, document management systems, and related infrastructure to support immigration-related legal services.
The Immigration Company operates as a technology-enabled immigration practice. Legal services are provided only by licensed attorneys and only after a written engagement letter is executed.
Unless expressly stated in a signed engagement agreement, the Platform provides workflow and informational support only.
3. No Attorney–Client Relationship Without Engagement
Your use of the Platform, submission of information, or communication with us does not by itself create an attorney–client relationship.
An attorney–client relationship is formed only after:
- A conflict check has been completed,
- A written engagement letter has been signed by you and an authorized attorney, and
- Any required fees or retainer have been received.
Communications prior to execution of an engagement letter may not be protected by attorney–client privilege.
4. Eligibility and Accounts
You must be at least 18 years old and have legal capacity to enter into these Terms.
If you create an account:
- You must provide accurate and current information.
- You are responsible for safeguarding your login credentials.
- You are responsible for all activity under your account.
- Login credentials may not be shared.
We may suspend or terminate accounts for violation of these Terms, suspected fraud, security concerns, or legal compliance requirements.
5. User Responsibilities
You agree to:
- Provide truthful, accurate, and complete information.
- Comply with all applicable laws and regulations.
- Use the Platform solely for lawful immigration-related purposes.
- Not upload unlawful, infringing, abusive, or fraudulent content.
- Not attempt to interfere with Platform security or operations.
You are solely responsible for the legality, completeness, and accuracy of all documents and information you submit.
6. Use of Artificial Intelligence
The Platform may incorporate AI-assisted drafting, automation, or workflow tools to enhance efficiency.
You acknowledge that:
- AI-generated outputs may contain errors or omissions.
- AI outputs are not legal advice unless reviewed and approved by a licensed attorney under an executed engagement agreement.
- We may use third-party AI providers subject to confidentiality and data protection safeguards consistent with our Privacy Policy.
- We do not train public AI models on your confidential case information.
7. Fees and Payment
Fees for legal representation are governed exclusively by your engagement letter.
For subscription-based or platform-based services:
- Fees are due as stated at purchase or invoice.
- All payments are in U.S. dollars.
- Government filing fees and third-party costs are your responsibility.
- Unless otherwise stated, payments are non-refundable.
- We reserve the right to correct billing errors.
8. Intellectual Property
The Platform, including all software, systems, workflows, content, and design elements ("Company Technology"), is owned by The Immigration Company or its licensors and is protected by intellectual property laws.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal or internal business purposes.
You may not:
- Copy, modify, or create derivative works of the Platform.
- Reverse engineer or attempt to extract source code.
- Scrape, harvest, or systematically extract data.
- Use the Platform to build a competing product or service.
You retain ownership of documents and information you upload ("Your Content"). You grant us a worldwide, royalty-free license to process Your Content solely to provide the Services and comply with legal obligations.
9. Confidentiality
If an attorney–client relationship is formed, we will maintain confidentiality consistent with applicable professional rules and our Privacy Policy.
You acknowledge that information submitted prior to formal engagement may not be privileged.
10. Disclaimers
Immigration outcomes depend on government agencies, policies, adjudication practices, and other factors outside our control.
The Platform and Services are provided "as is" and "as available."
To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee approval of any immigration application, petition, or benefit.
11. Limitation of Liability
To the maximum extent permitted by law:
- We are not liable for indirect, incidental, special, consequential, or punitive damages.
- We are not liable for loss of profits, revenue, data, or goodwill.
Our total aggregate liability for any claim arising out of or related to the Platform or these Terms will not exceed the greater of:
- The amount paid by you to us in the twelve months preceding the claim, or
- One thousand U.S. dollars (USD $1,000).
Certain jurisdictions do not allow limitations of liability, so some limitations may not apply.
12. Indemnification
You agree to defend, indemnify, and hold harmless The Immigration Company and its affiliates, officers, employees, and agents from claims arising out of:
- Your violation of these Terms,
- Your misuse of the Platform,
- Your Content, or
- Your violation of applicable law.
13. Dispute Resolution and Arbitration
13.1 Informal Resolution
Before initiating arbitration, you agree to attempt to resolve disputes informally by contacting us in writing.
13.2 Binding Arbitration
Except for small claims court or claims seeking injunctive relief for intellectual property violations, any dispute arising out of or relating to these Terms or the Platform will be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules.
Arbitration will take place in New York County, New York.
13.3 Class Action Waiver
You and The Immigration Company agree to bring claims only on an individual basis and not as part of any class, consolidated, or representative proceeding.
You waive any right to a jury trial.
13.4 Opt-Out
You may opt out of arbitration within thirty (30) days of first accepting these Terms by providing written notice.
14. Governing Law
These Terms are governed by the laws of the State of New York, without regard to conflict of laws principles.
15. Termination
We may suspend or terminate access to the Platform at any time for violation of these Terms, security concerns, or legal compliance requirements.
Upon termination:
- Your right to access the Platform ceases immediately.
- Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution survive.
16. Modifications to Terms
We may revise these Terms from time to time.
If changes are material, we will provide notice through the Platform or by email. Continued use of the Platform after revised Terms become effective constitutes acceptance.
17. General Provisions
These Terms, together with the Privacy Policy and any executed engagement letter, constitute the entire agreement between you and The Immigration Company regarding the Platform.
If any provision is held unenforceable, the remainder remains in effect.
No waiver is effective unless in writing.
We may assign these Terms in connection with a merger, acquisition, or sale of assets.
